THIS CONTEST ("CONTEST") IS OPEN TO NATURAL PERSONS WHO ARE LEGAL RESIDENTS OF THE FIFTY (50) STATES OF THE UNITED STATES OF AMERICA AND THE DISTRICT OF COLUMBIA, CANADA, AUSTRALIA, THE UNITED KINGDOM OF GREAT BRITAIN AND NORTHERN IRELAND, AND OTHER COUNTRIES THAT URLABEL MAY DETERMINE IN ITS SOLE DISCRETION, WHO, AS OF THE DATE OF ENTRY SUBMISSION, HAVE ATTAINED THE AGE OF MAJORITY IN THEIR JURISDICTION OF RESIDENCE, OR ARE EMANCIPATED MINORS, OR POSSESS LEGAL PARENTAL OR GUARDIAN CONSENT, AND ARE FULLY ABLE AND COMPETENT TO ENTER INTO THE TERMS, CONDITIONS, OBLIGATIONS, AFFIRMATIONS, REPRESENTATIONS AND WARRANTIES SET FORTH BY THESE CONTEST RULES. AND WHO ARE AT LEAST THIRTEEN (13) YEARS OF AGE AT THE TIME OF ENTRY ("CONTESTANT"). THIS CONTEST IS VOID WHERE PROHIBITED BY LAW AND OUTSIDE OF THE UNITED STATES. ENTRY IN THE CONTEST CONSTITUTES ACCEPTANCE OF THESE OFFICIAL RULES AND THE TERMS & CONDITIONS, ACCEPTABLE USE POLICY, AND PRIVACY POLICY OF THE WEBSITE. ADDITIONALLY, IF URLABEL.NET OFFERS AIRFARE OR ACCOMODATIONS TO ENTRANTS IN CONNECTION WITH SUCH ENTRANT'S PARTICIPATION IN A CONTEST, URLABEL.NET WILL ONLY BE RESPONSIBLE FOR THE AIR FARE FROM WITHIN THE CONTINENTAL UNITED STATES, AND SUCH OFFER OF AIRFARE AND ACCOMODATIONS FOR ANY ENTRANT WHO IS NOT A RESIDENT OF THE UNITED STATES WILL BE CONDITIONED UPON SUCH ENTRANT OBTAINING ALL IMMIGRATION DOCUMENTATION NECESSARY FOR ENTRANT TO TRAVEL TO THE LOCATION, AND ON THE DATE, DESIGNATED FOR SUCH PARTICIPATION BY URLABEL.NET. FURTHERMORE, ALL AUDIO FILES, IMAGE FILES, AND OTHER FILES ARE PROHIBITED FROM CONTAINING PROFANE, EXPLICIT OR OTHER HARMFUL LANGUAGE OR GESTURES OR ANY CONTENT THAT IS PORNOGRAPHIC.
The Contest is not open to the employees, officers, directors, owners (or any of their family members) of Company, its parents, subsidiaries, or affiliates.
Each Contestant selected to perform at the Concert (as defined below) must sign a written version of the terms and conditions. Persons under the age of 18 are required to obtain the written consent of their parent(s) or legal guardian(s) in a manner that is consistent with the laws of the state where the minor resides. |

| Registering for the Contest |
|
Each Contestant is permitted to enter the Contest one time. Subsequent entries by a Contestant will not be considered. To enter, the Contestant must visit www.urlabel.net, click on the sign up tab at the top right corner of the site, and register by completing the following steps:
(1) Read, understand, and agree with these Contest rules as well as the Terms & Conditions, Acceptable Use Policy and Privacy Policy of this Website. Submission of an entry into this Contest constitutes the Contestant's acceptance and agreement with all such terms, conditions and policies.
(2) Complete the entire .registration form
(3) Upload up to five original composition and sound recordings in any format ("Track"). Each Track is limited to 14MB in size. PLEASE NOTE: THE FIRST SONG SUBMITTED WILL BE THE SONG VOTED UPON BY THE JUDGES.
(4) Upload a file containing an accurate transcription of the lyrics for the Track.
(5) Upload a photograph and biography of the Contestant.
(6) Pay the $199.99 +tax non-refundable registration fee via the online process or by mailing a Cashier's Check payable to: UIR Ltd. 12320 Barker Cypress 600-126 Cypress, Texas 77429(Please follow the instructions listed on the pay portal page for payment through mail). The $199.99 + tax non-refundable fee is for the "Latino Contest" contest and will not be used or transferred to other contests beyond this one. |

| Contestant's Representations & Warranties |
|
Contestant hereby represents and warrants that the composition and sound recording embodied in the Track are original to Contestant. Contestant further represents and warrants that Contestant
(i) has the right to enter into this agreement and fully comply with these rules,
(ii) is the sole and exclusive owner of any and all rights in and to all Tracks, trademarks, trade names, photographs, images and other materials (jointly and severally the "Proprietary Materials") submitted or otherwise uploaded by Contestant to the Website (i.e., "cover" songs" are not permitted);
(iii) no element of the Proprietary Materials violates any law or infringes upon the rights of any person;
(iv) is not currently obligated to a third party under a recording, songwriting, publishing, or producer agreement or any other agreement that conflicts with the Contestant's obligations hereunder;
(v) the biographical information accurately describes the Contestant; and
(vi) shall keep its biographical and contact information up-to-date. Any violation of any of these representations and warranties will result in immediate disqualification from the Contest.

| Grant of Licenses |
|
Contestant hereby grants to Company and Company's successors, licensees and assigns, a nonexclusive, irrevocable, perpetual, compensation-free license throughout the universe to reproduce, distribute, publicly display, publicly perform, and prepare derivate works from the Track in any media format, whether now known or hereafter discovered.
Contestant hereby grants to Company and Company's successors, licensees and assigns, a nonexclusive, irrevocable, perpetual, compensation-free license throughout the universe to promote, advertise, reproduce, and distribute Contestant's name, image, voice, likeness and other personal attributes and biographical information on and in connection with the Track in connection with any and all advertising, promotion and exploitation relating directly or indirectly to the Track.

| Grant of Option Required for Finalists |
|
| As a condition of appearing as one of the eight (8) finalists selected to perform at the event, each Contestant who is a finalist must execute an option agreement granting Company an option to sign each such Contestant to an exclusive recording and songwriting/publishing agreement. |

| Contest Submission Deadlines & Criteria |
|
| The deadline for submissions is 12:00AM CST the day of the deadline. Illegible, unintelligible, incomplete or garbled entries will be disqualified. Company is not responsible for destroyed, deleted, delayed, lost, late, incomplete, mutilated, damaged, stolen, misdirected, illegible entries or other entries not received by deadline for whatever reason. Entry materials/data that have been tampered with or altered are void. ANY PERSON ATTEMPTING TO DEFRAUD ADMINISTRATOR OR IN ANY WAY TAMPER WITH, DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST WILL BE DISQUALIFIED AND MAY BE SUBJECT TO CIVIL AND/OR CRIMINAL PROSECUTION. |

| BY PARTICIPATING IN THE CONTEST, CONTESTANT AGREES TO INDEMNIFY AND HOLD HARMLESS COMPANY AND ITS PARENT COMPANIES, AFFILIATES, SUBSIDIARIES, SUCCESSORS, ASSIGNS, AGENTS, REPRESENTATIVES, OFFICERS, DIRECTORS, SHAREHOLDERS, AND EMPLOYEES (COLLECTIVELY, "RELEASEES") FROM AND AGAINST ANY AND ALL INJURIES, LOSSES, DAMAGES, CLAIMS, AND ACTIONS OF ANY KIND ARISING FROM OR RELATING TO PARTICIPATION IN THE CONTEST, OR ACCEPTANCE, POSSESSION, USE, MISUSE, OR NONUSE OF ANY PRIZE THAT MAY BE AWARDED, INCLUDING, WITHOUT LIMITATION, ACTUAL, DIRECT, INDIRECT, CONSEQUENTIAL, PUNITIVE, SPECIAL, OR OTHER DAMAGES. RELEASEES ARE NOT RESPONSIBLE FOR PRINTING OR TYPOGRAPHICAL ERRORS IN ANY CONTEST-RELATED MATERIALS; FOR STOLEN, LOST, LATE, MISDIRECTED, DAMAGED, INCOMPLETE, ILLEGIBLE ENTRIES; OR FOR TRANSACTIONS THAT ARE LOST, MISDIRECTED, FAIL TO ENTER INTO THE PROCESSING SYSTEM, OR ARE PROCESSED, REPORTED, OR TRANSMITTED LATE OR INCORRECTLY, OR ARE LOST FOR ANY REASON, INCLUDING, WITHOUT LIMITATION, COMPUTER, TELEPHONE, PAPER TRANSFER, OR HUMAN ERROR; OR FOR ELECTRONIC, COMPUTER, OR TELEPHONIC MALFUNCTION OR ERROR. IF, IN THE COMPANY'S OPINION, THERE IS ANY SUSPECTED OR ACTUAL EVIDENCE OF ELECTRONIC OR NON-ELECTRONIC TAMPERING WITH ANY PORTION OF THE CONTEST, OR IF A COMPUTER VIRUS, BUG, UNAUTHORIZED INTERVENTION, FRAUD, TECHNICAL DIFFICULTIES, OR FAILURES COMPROMISE OR CORRUPT OR AFFECT THE ADMINISTRATION, INTEGRITY, SECURITY, FAIRNESS, OR PROPER CONDUCT OF THE CONTEST, COMPANY RESERVES THE RIGHT IN ITS SOLE DISCRETION TO DISQUALIFY ANY INDIVIDUAL WHO TAMPERS WITH THE ENTRY PROCESS AND TO VOID ANY ENTRIES SUBMITTED FRAUDULENTLY; TO MODIFY OR SUSPEND THE CONTEST; OR TO TERMINATE THE CONTEST AND CONDUCT A RANDOM DRAWING TO AWARD THE PRIZE USING ALL NON-SUSPECT ENTRIES RECEIVED AS OF THE TERMINATION DATE. IF THE CONTEST IS CANCELLED, MODIFIED, SUSPENDED OR TERMINATED, NOTICE WILL BE POSTED ON THE WEB SITE. CONTESTANT UNDERSTANDS THAT TRAVEL, WHETHER IN CIVILIZED OR REMOTE AREAS AND WHETHER BY PLANE, AUTOMOBILE, BOAT, RAFT, OR OTHER CONVEYANCE, OR BY FOOT, ON LAND OR WATER AND IN THE AIR, CONTAINS SOME INHERENT ELEMENT OF RISK OF ACCIDENT, ILLNESS, INJURY, LOSS OR DEATH, WHICH MAY BE CAUSED BY NEGLIGENCE, FORCES OF NATURE, WILD ANIMALS OR OTHER AGENCIES, KNOWN OR UNKNOWN. ALL ENTRANTS UNDERSTAND THAT THESE RISKS MAY BE PRESENT BEFORE, DURING AND AFTER THE TRIP AND ALL CONTESTANT AGREE TO INDEMNIFY AND HOLD HARMLESS THE RELEASEES FROM AND AGAINST ANY AND ALL INJURIES, LOSSES, DAMAGES, CLAIMS, AND ACTIONS OF ANY KIND ARISING FROM OR RELATING TO PARTICIPATION IN THE TRAVEL IN CONNECTION WITH THE CONTEST. |

| Judging Means and Criteria |
|
The artists will be judged by the following:
33%- of the vote will be determined by UR fans/listeners
33%-of the vote to be determined by Unveiling Records panel of Grammy Winning Producers and songwriting judges
34%-of the vote to be determined by A&R representatives of from Unveiling Records
The finalists will be judged on content, originality, talent, overall sound, themes, lyrics, musicianship/ Artistry and vocals. If a band/artist from the winning groups to play at the concert cannot attend, another band will be selected from the remaining ten in the order they have been chosen.

| Taxes |
|
Any valuation of the prize(s) is based on reasonably available information provided to Company. The value of any prize awarded to a winner may be reported for tax purposes as required by law. Each winner is solely responsible for reporting and paying any and all applicable taxes. If requested, each winner must provide Company with valid identification and a valid taxpayer identification number or social security number before any prize will be awarded. Prizes are not transferable, redeemable for cash or exchangeable for any other prize. Any Contestant winning over $600 in prizes will receive an IRS form 1099 at the end of the calendar year, and a copy of such form will be filed with the IRS.
Travel, Lodging and Meal Expenses
Each Contestant shall be solely responsible for his/her travel, lodging and meal expenses to and from any live performance. Once Contestant arrives in the city of performance then the Company shall pay reasonable lodging and meal expenses for Contestant during the time Contestant is required to be in the city of performance for the event. Upon completion of the event, Contestant is solely responsible for all travel, lodging and meal expenses.

| Ownership of Rights in Concert |
|
| Company shall be the sole and exclusive owner of any and all rights in and to the Concert, including, without limitation, the copyright interests in and to any and all recordings thereof. |

|
| Misconduct |
|
| Any misconduct by a band / artist before, during or after the concert will disqualify the band. Any band / artist that cause an atmosphere of misconduct and do not perform the songs authorized by Company prior to the concert will be disqualified, disconnected and removed from the concert venue. |
|
|
|
| Governing Law |
|
| Any disputes arising under or related to these Rules shall be governed by and interpreted pursuant to the laws of the State of Texas and the United States of America without regard for conflicts of laws principles. Contestant further irrevocably agrees that the state and federal courts situated in Harris County, Texas shall have exclusive jurisdiction and venue over any and all disputes arising under or related to these rules and Contestant hereby expressly waives jurisdiction and venue in any other forum |
